1. Who we are
These Terms of Service ("Terms") are an agreement between Bexar Labs LLC ("Bexar Labs," "we," "us"), a Texas limited liability company based in San Antonio, Texas, and the business or person purchasing our services ("you," the "Client"). Contact: hello@bexarlabs.co.
These Terms cover our web design, development, hosting, maintenance, and digital-marketing services. They do not cover our mobile applications, which have their own terms (e.g. Time Trackr).
2. How agreements work
Most engagements start with a written proposal, quote, or order (each an "Order") describing the specific services, scope, and price. Each Order incorporates these Terms. If an Order and these Terms conflict, the Order wins. Accepting an Order, signing a proposal, or completing checkout (including checking the terms box at payment) means you accept these Terms.
3. Monthly website plans
Our monthly website plan includes design, build, hosting, SSL, backups, maintenance, and content edits, per the description on the pricing page, plus a one-time setup fee due at signup. Final pricing is scoped to your site's page count and complexity.
- Billing options. Choose monthly billing (your plan's monthly rate, first charge at signup and then every month) or annual billing (12 months prepaid in one charge, priced at 10 months' rate — 2 months free). Either way, the setup fee is billed once, at signup.
- Term. Monthly plans have a 12-month minimum term, regardless of which billing option you choose. Annual billing satisfies the full term in one payment. After the initial term, monthly billing continues month-to-month; annual billing renews each year at the same annual rate unless you switch to monthly billing or cancel.
- "Unlimited edits" means routine content swaps on your existing pages, within your plan's page count — text, images you provide, hours, menu items, staff, prices, and similar updates — submitted in reasonable volume for a single-location small business, with normal turnaround of 2–3 business days per batch. It does not include layout or design changes, new sections or page types, custom features or integrations, original photography or graphic design, copywriting or content creation, bulk or catalog imports, or anything we'd scope as a project. We'll quote those separately before doing anything billable — and if requests are clearly outside normal single-business use (for example, near-daily changes or large bulk updates), we'll reach out about moving to a project rate before continuing.
- If you cancel during the minimum term. Annual-billing customers have already paid for the term — nothing further is owed, but the payment and setup fee are non-refundable once design work begins. Monthly-billing customers owe the remaining balance of the 12-month term; once paid, you may keep the site per Section 9.
4. Marketing services
Marketing services (e.g. Get Found, Get Leads, Stay Trusted, AI Front Desk) are monthly subscriptions billed in advance. Unless an Order says otherwise, they run month-to-month and either party may end them with 30 days' written notice, effective at the end of the then-current billing period.
- No results guarantee. Search rankings, AI-answer citations, traffic, leads, and revenue depend on factors outside anyone's control (including search engines' and platforms' own systems). We commit to the work described in your plan, performed with professional skill — not to any specific ranking, placement, volume, or revenue outcome. Anyone who guarantees you #1 on Google is lying to you.
- Ad spend is yours. For advertising services, your ad budget is paid by you directly to the ad platform (e.g. Google) on your own account. We never take custody of ad spend; our fee covers management only.
- Your accounts. Google Business Profile, ad accounts, and social profiles are created in your name and remain yours. We access them to do the work; access ends when the service ends.
5. Project work (one-time builds and custom work)
- Projects are scoped in a written Order. Unless the Order says otherwise, payment is 50% deposit to begin, 50% at launch (before the site goes live on your domain).
- The deposit is non-refundable once work begins. If you pause or abandon a project for more than 60 days without arrangement, we may close it out and invoice for work completed.
- Material changes to scope are quoted and agreed in writing before we build them.
6. Fees, billing, and taxes
- Payments are processed by Stripe; we don't see or store your card or bank details. Subscriptions bill automatically each period. You can update payment methods and view invoices anytime through the billing portal link on your receipts.
- Prices exclude applicable taxes; where required (including Texas sales tax on taxable services), tax is added at checkout or on the invoice.
- If a subscription payment fails, Stripe retries and emails you automatically. If payment remains unpaid after the retry window, we may pause services (including hosting) until the balance is settled. We'll always reach out before anything is taken offline.
- Fees paid are non-refundable except as expressly stated in these Terms or an Order.
7. Cancelling
Email hello@bexarlabs.co from your account email. We'll confirm within three business days and set your cancellation to take effect at the end of the current billing period (or the initial term, per Section 3). We don't do partial-month refunds, and we'll never make leaving harder than joining.
8. Your responsibilities
- Provide the content, feedback, and approvals we need on a reasonably timely basis. Client-side delays don't pause billing.
- Only give us content you have the right to use. You're responsible for the accuracy and legality of your business content (claims, licenses, pricing, offers).
- Keep your contact and billing details current, and maintain control of your own domain registrar and key accounts.
9. Ownership and intellectual property
- Always yours: your domain name, your brand, your Google Business Profile, the content and materials you provide, and your business data.
- Project work: on full payment, the delivered website and design work are yours.
- Monthly plans: we build and host your site as part of the subscription. After you complete the initial term, you're entitled on request to a complete export of your site's files and content at no extra charge, and it's yours.
- Ours: we keep ownership of our pre-existing tools, code libraries, templates, processes, and know-how; you get a license to them as embedded in your deliverables. We may use similar techniques and components for other clients.
10. Portfolio and attribution
We may include work we've built for you in our portfolio and case studies (with real, non-confidential results), and place a small "Built by Bexar Labs" credit link in your site's footer. If you'd prefer no credit link, a white-label option is available for a one-time fee — just ask.
11. Third-party services
Our services rely on third parties we don't control — hosting and deployment platforms, domain registrars, search engines, ad platforms, AI providers, email services, and payment processing. We choose reputable providers and work around outages, but we aren't liable for third-party downtime, changes, or discontinuations. Third-party subscription costs that belong to you (e.g. domain registration, ad spend, paid tools in your name) are yours.
12. Disclaimers
Except as expressly stated in these Terms or an Order, services are provided "as is" and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.
13. Limitation of liability
To the maximum extent permitted by law: neither party is liable for indirect, incidental, consequential, special, or punitive damages, or lost profits or revenue; and our total aggregate liability arising out of the services is capped at the amounts you paid us for the affected services in the 12 months before the claim arose. These limits don't apply to your payment obligations or either party's infringement of the other's intellectual property.
14. Indemnification
You'll defend and hold us harmless from third-party claims arising out of your content, your products or services, or your violation of law; we'll defend and hold you harmless from third-party claims that our original work product infringes their intellectual property.
15. Termination for cause
Either party may terminate an engagement if the other materially breaches these Terms and doesn't cure within 15 days of written notice. We may suspend or terminate immediately for non-payment (per Section 6) or unlawful use. Sections 9, 12–14, and 16 survive termination.
16. Governing law and disputes
These Terms are governed by Texas law. Venue for any dispute is the state or federal courts in Bexar County, Texas, and both parties consent to their jurisdiction. Before filing anything, both parties agree to try to resolve the dispute directly in good faith first.
17. Changes to these Terms
We may update these Terms from time to time. Changes apply to new Orders and, for ongoing subscriptions, take effect at your next renewal after we've posted the update here (material changes flagged by email). The version in effect when you accepted an Order continues to govern that Order until renewal.
